About these terms

These terms cover using AuxoMedia’s work app and client portal. By signing in you agree to them. If you have a signed contract or statement of work with us, or you work for us, that contract or your terms of employment come first where they say something different.

Your account

• Accounts are given by us, to named people. Yours is for you alone: don't share your password or let someone else sign in as you.
• Keep your password private, and turn on two-step verification (owners and admins must). Tell us straight away at the address below if you think someone else has used your account.
• We can pause or remove an account that's misused, or when the work or employment it was for ends.

For clients: approvals and quotations

• When you approve a deliverable, a post, a proof or a revision in the portal, we treat that as your written approval to go ahead or publish.
• Accepting a quotation in the portal means you agree to the work and price in it. If a signed contract covers the same work, the contract applies.
• Invoices shown in the portal are copies; the PDF invoice is the official one. Payment is due as stated on the invoice or in your contract.
• Asking for changes, raising a request or commenting doesn't commit either of us to extra work or cost until we've agreed it.

Files and work

• Files you give us stay yours. You let us use them to do the work you've asked for, and you confirm you have the right to share them.
• Drafts and work in progress we share are for your review. Finished work becomes yours once the invoice for it is paid in full; until then it stays ours.
• Please don't publish or pass on drafts before they're approved and, where the contract says so, paid for.
• Keep your own copies of anything important; the portal isn't a long-term archive.

Confidentiality

What you see in the app (other clients’ names, our prices, plans and unreleased work) is confidential. Use it only for the work it’s shared for. We treat your information the same way, as set out in our privacy notice.

Fair use

Don’t:

• try to see data that isn't meant for you, or get around sign-in or permissions;
• upload anything harmful, illegal or that you don't have the right to share;
• copy data out of the app in bulk by automated means, or overload it;
• use the AI assistant (team only) for anything other than our work.

Sign-ins and changes are recorded, so we can investigate misuse and keep accounts safe.

Availability

We work to keep the app running and your data safe, and take regular backups, but we can’t promise it will always be available or free of errors. We may change or improve features over time.

Liability

As far as the law allows, we aren’t responsible for indirect losses (such as lost profit) from using the app, and our total liability for the app is limited to the fees you paid us in the three months before the claim. Nothing here limits liability that can’t be limited by law.

Law and disputes

These terms are governed by the laws of India. Any dispute goes to the courts at Bahraich, Uttar Pradesh.

Changes and contact

If we change these terms we’ll update the date at the top and tell you in the app when the change matters. Questions: hello@auxomedia.com.
